Terms of Service

The short version

  • You keep every right to your data. We move it; we do not own it, sell it, or train anything on it.
  • Your first 1,000,000 rows each month are free. After that it is $30 per million rows synced.
  • Initial full loads are never metered — only the incremental changes afterward count.
  • Credits are paid up front, do not expire, and are not refundable. See Refunds.
  • Either of us can end the agreement at any time.

This summary is for orientation only. The numbered sections below are the actual agreement.

1. Who these terms are between

These Terms of Service (the “Terms”) are an agreement between Elglide, Corp., a Delaware corporation with its principal place of business at 5606 Dalton Ranch Ln, Sugar Land, TX 77479, USA (“Elglide”, “we”, “us”), and the individual or entity that registers for or uses the Elglide service (“you”, “your”, or “Customer”).

By registering an account, connecting a data source, or using the service in any way, you accept these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

2. What the service does

Elglide is a managed data-movement service. You connect a data source you control — a database, a set of tables or views — and a destination warehouse you control, such as Snowflake. Elglide copies data from the source to the destination on a schedule you configure, and keeps it up to date using full loads, incremental syncs, or change data capture.

You may connect through our cloud, through an SSH bastion you operate, or by running the Elglide hybrid agent inside your own network. Which one you choose changes where your data travels; see the Privacy Policy for what that means in practice.

3. Your account

You are responsible for the accuracy of your registration details, for everything done under your account, and for keeping credentials secure. Tell us promptly at [email protected] if you believe your account has been accessed without your authorization.

You may invite as many users to your account as you like; user seats are not charged. You remain responsible for what those users do.

4. Your data stays yours

As between you and Elglide, you own all data you connect, move, or store through the service (“Customer Data”). Nothing in these Terms transfers ownership of Customer Data to us.

You grant Elglide a limited, non-exclusive licence to access, copy, transmit, and process Customer Data solely for the purpose of providing the service to you — moving it from your source to your destination, reporting on those syncs, and supporting you when you ask. That licence exists only for as long as needed to do that.

We do not sell Customer Data, share it with advertisers, or use it to train machine-learning models.

You are responsible for having the rights and permissions necessary to move the data you connect, and for complying with the laws that apply to it — including privacy, data-protection, and export laws. You should not connect data you are not permitted to copy.

5. Acceptable use

You agree not to use the service to:

  • move data you have no legal right to copy or process;
  • break into, disrupt, or probe systems you do not own or have permission to test;
  • interfere with the operation of the service or circumvent its usage limits, metering, or access controls;
  • resell or provide the service to third parties as your own without a written agreement with us; or
  • violate any applicable law.

We may suspend an account that is causing harm to the service or to others, or that is materially in breach of this section. Where circumstances allow, we will tell you first and give you a chance to fix it.

6. Fees, credits, and billing

What is metered

Usage is measured in rows synced. The first 1,000,000 rows each calendar month are free on every account. Beyond that, usage is charged at $30 per 1,000,000 rows synced.

Initial full loads are never metered. The first complete load of a table or view does not count toward your usage, regardless of size. Only the incremental changes afterward — inserted, updated, and deleted rows — are counted.

Credits

Usage is drawn from a prepaid credit balance. You may add credit by card at any time from your account. Credit is denominated in US dollars, applies only to the account that purchased it, and has no cash value outside the service.

Credit does not expire. Any balance you have purchased stays on your account and remains available for future syncs for as long as your account is open.

Credit purchases are final and are not refundable. The full terms, and the narrow exceptions, are set out in our Refund Policy, which forms part of these Terms.

If you enable auto-reload, you authorize us to charge your saved payment method when your balance falls below the threshold you set. Auto-reload is off unless you turn it on, and you can turn it off at any time.

Invoices

Where we invoice you rather than charge a card, payment is due net 30 days from the invoice date unless we have agreed otherwise in writing. Any credit balance on your account is applied to an invoice automatically when it is issued.

Taxes

Our prices exclude taxes. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your purchase, except for taxes on our income.

Price changes

We may change our prices. We will give you at least 30 days notice by email before a change takes effect. Credit you have already purchased is unaffected — it is consumed at the rates that applied when you bought it.

7. Availability and support

We work to keep the service available and running, but the standard service is provided without a guaranteed uptime commitment. A 99.9% uptime SLA, priority support, SSO, and dedicated deployments are available as paid add-ons; if you have purchased one, the terms of that add-on apply in addition to these Terms.

We may need to take the service down for maintenance. We will give notice of planned maintenance where we reasonably can.

Standard support is by email at [email protected]. We aim to respond within two business days.

8. Systems you connect

The service connects to systems you own or license — your databases, your Snowflake account, your network. We are not responsible for those systems, their availability, their cost, or the terms you have with their providers. Charges your warehouse provider bills you for storage or compute resulting from a sync are between you and them.

9. Disclaimer of warranties

Except as expressly stated in these Terms, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that it will meet your requirements. You are responsible for maintaining your own backups of your source data. Elglide is a data-movement service, not a backup service.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data, even if advised such damages were possible.

To the maximum extent permitted by law, the total aggregate liability of Elglide arising out of or relating to these Terms or the service is limited to the greater of (a) the total amounts you paid to Elglide in the twelve months immediately before the event giving rise to the claim, or (b) one hundred US dollars ($100).

These limits do not apply to either party's liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

11. Indemnification

You agree to defend and indemnify Elglide against third-party claims, damages, and reasonable costs arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law or of the rights of a third party. We will notify you promptly of any such claim and let you control the defence, and we will cooperate reasonably at your expense.

12. Term, termination, and what happens after

These Terms apply for as long as you have an account. You may close your account at any time. We may terminate or suspend your account if you materially breach these Terms and do not fix it within 15 days of written notice, or immediately if required by law or if your use poses a security risk to the service or to others.

On termination your right to use the service stops. We will delete your account configuration and operational records within a reasonable period, subject to any records we are required to keep. Because Elglide writes data to a destination you control, data already delivered to your warehouse is unaffected by termination and remains yours.

Unused credit is not refunded on termination, whether you close the account or we do for cause. If we terminate your account without cause, we will refund the unused balance. See the Refund Policy.

13. Changes to these Terms

We may update these Terms. If a change is material, we will give at least 30 days notice by email or in the product before it takes effect. Continuing to use the service after that means you accept the updated Terms. If you do not accept them, you may close your account.

The effective date at the top of this page always reflects the current version.

14. General

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these Terms, and both parties consent to that jurisdiction.

Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us about the service and replace any earlier understandings on the subject.

Severability. If any provision is found unenforceable, the rest stays in force and the unenforceable provision is applied to the greatest extent permitted.

No waiver. Not enforcing a provision on one occasion does not waive the right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of substantially all our assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
